Introduction

These Terms & Conditions (“Agreement”) govern all design and creative services (“Services”) provided by Gajdek360LLC (“Agents or Designers working idependetly under Gajdek360LLC,” “we,” or “us”) to you (“Client”). By signing the Estimate/Proposal or paying the required deposit, you agree to these Terms.

You confirm you are at least 18 years old and authorized to enter into this Agreement on behalf of yourself or your organization.

Designer will provide the Services described in the project Estimate/Proposal, which may include design concepts, layouts, revisions, and final deliverables.

A project scope document or written confirmation will be provided before work begins.

• Any work outside the agreed scope will be billed at the hourly rate.
• Package B includes up to 3 rounds of revisions. Additional revisions are billed hourly.
•  Standard delivered file formats include:
  • PNG or JPG
  • PDF
  • SVG
  • PSD (if applicable to the project type)

Project timelines follow the schedule in the Estimate/Proposal.

Timelines may adjust if:

• Client delays sending materials or feedback
• Scope changes
  Uncontrollable events occur

Designer will communicate revised timelines as needed.

Delays in content or feedback may shift timelines. Designer is not responsible for delays caused by Client.

Client agrees to:

• Client must provide accurate and complete project details.
• Client feedback and approvals must be provided in a timely manner.
• Delays in communication may result in extended timelines.

For first-time clients:

• 50% deposit required before work begins

For returning clients:

• 20% deposit required before work begins

Additional Terms:

•  A deposit may be required for work to begin.
• All invoices are due within 30 days upon receipt unless otherwise stated.
• Final deliverables are released only after full payment is completed.
• Late payments may accur at 1.5%/month and delay delivery timelines.
• Work may pause until overdue invoices are paid.

A “revision” means adjusting existing work. A major redesign or new concept is considered a Scope change.

Client Agrees that:

• Revisions refer to changes after the initial concept has been presented.
• Package B allows 3 revisions; additional revisions are billed at the hourly rate.
• Large changes that alter the original project direction may be considered new work.

Client final approval constitutes acceptance of all work.

Any post-approval changes will be billed as additional work.

Upon full payment, the Client receives ownership of the final approved design.

Gajdek360 LLC retains ownership of all draft files, working files, and unselected concepts.

Gajdek360 LLC reserves the right to display completed work in portfolios and marketing materials unless the Client requests confidentiality in writing.

Either party may terminate the project in writing.

•  If the Client rejects the work or cancels the project, all completed work up to that point must be paid for.
• Deposits are non-refundable unless otherwise specified.

Designer may terminate for non-payment, inappropriate content, or abusive behavior.

Final files are delivered in the formats listed in Project Scope & Deliverables Section

Editable or source files beyond PSD (e.g., AI, layered files) may require an additional fee unless previously agreed upon.

Gajdek360 LLC is not responsible for delays or non-performance due to events beyond control such as::

• Natural disasters
• Power outages
• Illness or injury
• Government restrictions
• Pandemic-related disruptions

Timelines will be adjusted as necessary

Gajdek360 LLC is not responsible for:

• Losses resulting from how the Client uses the design
• Business outcomes, performance metrics, or financial results
• Third-party printing or production errors

Our total liability will not exceed the total fees paid for the project.

Any Client-supplied information marked confidential will remain confidential and used only for project purposes.

Client agrees to indemnify and hold Gajdek360 LLC harmless from any claims related to:

• Copyright/trademark issues from Client-provided content
• Misuse of the final design
• Any illegal or harmful use of delivered assets

These Terms are governed by the laws of the state in which Gajdek360 LLC is registered and operates.

By hiring Gajdek360 LLC, the Client acknowledges they have read, understood, and agree to these Terms & Conditions.
